1. Risk Disclosure (Critical Notice)

The services provided by Top Options BV ("the Company"), including the Smart Collar software, algorithms, trade scoring, and educational materials, are for informational and decision-support purposes only. They do not constitute financial, investment, tax, or legal advice.

No Investment Advice / Robo-Advisory

The "Trade Scores" and opportunities identified by our software are generated by automated algorithms based on mathematical parameters. They are not personalized investment recommendations. The software does not take into account your personal financial situation, risk tolerance, or investment goals. You acknowledge that you are using the software as a self-directed investor.

Market Data vs. Portfolio Data (Synchronization Risk)

Our software utilizes a hybrid data model:

1. Real-Time Market Data: Market prices, volatility metrics, and Greeks are provided in real-time (or delayed real-time) via third-party APIs.
2. Static Portfolio Data: Your account holdings, balances, and positions are based solely on the CSV file you manually upload.

WARNING: The software calculates "Trade Scores" and risk metrics by applying live market data to your static portfolio snapshot. If your actual brokerage account has changed since your last CSV upload (e.g., executed trades, exercised options), the analysis displayed may be inaccurate or obsolete. You are solely responsible for verifying that your uploaded portfolio data matches your actual brokerage account before executing any trade.

Hypothetical Performance

Results presented in the "Risk Calculator", "Back-testing" modules, or simulation modes are hypothetical. They do not represent actual trading. Hypothetical performance has many inherent limitations and is not indicative of future results. Actual trading results may differ significantly due to liquidity, slippage, and market volatility.

2. Terms of Use

Acceptance of Terms

By creating an account and using our software, you agree to these Terms. If you do not agree, please refrain from using the services.

License to Use

The Company grants you a limited, non-exclusive, non-transferable license to use the software for your personal investment management. You may not reverse engineer, copy, distribute, or resell the software or its content.

Data Integrity & User Responsibility

• Manual Uploads: You acknowledge that the software relies on data manually exported and uploaded by you (via CSV files). You are solely responsible for ensuring that the uploaded data is correct, complete, and up-to-date.
• No Real-Time Account Connection: You acknowledge that the software does not have a real-time connection to your brokerage account. The Company is not liable for trading errors or losses resulting from analyses performed on outdated, incorrect, or corrupted CSV files provided by you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOP OPTIONS BV SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOSS OF DATA, OR LOSS OF PROFITS, RESULTING FROM THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Jurisdiction

These Terms shall be governed by the laws of The Netherlands. Any disputes shall be resolved in the competent courts of The Netherlands.

Regulatory Compliance

• Not a Registered Investment Advisor: Top Options BV is an educational and software technology company. We are not registered as an Investment Advisor with the U.S. Securities and Exchange Commission (SEC), the Dutch Authority for the Financial Markets (AFM), or any other financial regulatory body.
• U.S. Residents: The content and software are intended for educational and self-directed use only.
• Options Risk: Options trading involves significant risk and is not suitable for all investors. Please read the "Characteristics and Risks of Standardized Options" provided by the OCC before trading.
